1. THIS IS AN AGREEMENT BETWEEN YOU AND INTERACTIVE-INITIATIVES CONSULTING SERVICE, LLC ("Interactive-Initiatives, LLC.").

This agreement governs your use of any Web site or Web page operated by Interactive-Initiatives, LLC.. You represent that you are at least eighteen (18) years of age and have attained the age of majority in the providence, state or country in which you reside, and any information that you submit is correct.

Interactive-Initiatives, LLC. OFFERS THE WEB SITE TO YOU CONDITIONED ON YOUR ACCEPTANCE WITHOUT MODIFICATION OF THIS AGREEMENT. YOUR USE OF THE Interactive-Initiatives, LLC. WEB SITE CONSTITUTES YOUR ACCEPTANCE OF THIS AGREEMENT. THIS AGREEMENT CONTAINS A DISCLAIMER OF WARRANTIES AND LIABILITY (See Sections 7 and 8). 2. HOW Interactive-Initiatives, LLC. MAY MODIFY THIS AGREEMENT

Interactive-Initiatives, LLC. reserves the right to change the terms, conditions and notices under which it offers the Web Site, including any changes associated with the use of the Interactive-Initiatives, LLC. Web Site. You are responsible for regularly reviewing these terms, conditions and notices and any additional terms posted on any Interactive-Initiatives, LLC. Web Site. Your continued use of the Interactive-Initiatives, LLC. Web Site after the effective date of such changes constitutes your acceptance of said agreement to such changes.

3.  ADDITIONAL TERMS

Any Interactive-Initiatives, LLC. Web Site may itself contain additional terms (for example, codes of conduct or guidelines) that further govern use of that Web Site, including without limitation, particular features or offers. If any terms contained in this Agreement conflict with any terms contained within another Web Site, then the terms of this agreement shall control.

4. NO COMMERCIAL, UNLAWFUL OR HARMFUL USE OF THE Interactive-Initiatives, LLC. WEB SITE.

The Interactive-Initiatives, LLC. Web Site is only for your personal use.  You will not use the Interactive-Initiatives, LLC. Web Site for commercial purposes. You will not use the Interactive-Initiatives, LLC. Web Site in any way that is unlawful or harms Interactive-Initiatives, LLC., its affiliates, resellers, distributors, service providers and/or suppliers, or any customer of Interactive-Initiatives, LLC., as determined in Interactive-Initiatives, LLC.' sole discretion. You may not use the Interactive-Initiatives, LLC. Web Site on any way that breaches any code of conduct, policy or other notice applicable to the Interactive-Initiatives, LLC. Web Site. Without limiting the generality of this section, you may not use the Interactive-Initiatives, LLC. Web Site in any manner that could damage, disable, overburden, or impair any Interactive-Initiatives, LLC. Web Site (or the network(s) connected to any other Web Site) or interfere with any other party's use and enjoyment of the Web Site.

5. BILLING AND PAYMENT POLICY

Customers are obligated to pay for products on the site. While interactive-initiatives.com will use its best efforts to ensure the privacy of all credit cards and all other personal information, we expressly disclaim any liability for any damage that may result should any information be released to any third parties.  User does hereby agree to hold interactive-intitiatives.com harmless for any damages that may result there from.

6.  MONEY BACK GUARANTEE

Interactive-Initiatives, LLC. will consider money back guarantees with special circumstances. The money back guarantee must be approved by the Senior Administrator.

7. REFUNDS

Due to the nature of our business, Interactive-Initiatives, LLC. does not offer refunds.

8.  PROPRIETARY RIGHTS

You acknowledge and agree that all content and materials available in this site are protected by copyrights, trademarks, service marks, patents, trade secrets, or other proprietary rights and laws. Except as expressly authorized by Interactive-Initiatives, LLC., you agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adapt, edit, or create derivative works for such materials or content. Notwithstanding the above, you may print or download one copy of the materials or content on this site on any single computer for your personal, non-commercial use, provided you keep intact all copyright and other proprietary notices. Systematic retrieval of data or other content from this site to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from interactive-initiatives.com is prohibited. In addition, use of the content or materials for any purpose not expressly permitted in these Terms is prohibited. As noted above, reproduction, copying, or redistribution for commercial purposes of any materials or design elements on this site is strictly prohibited without the express written permission of interactive-initiatives.com. Permission is granted only when certain limited criteria are met.

9. USE OF MATERIAL

The contents of the site, including, but not limited to, text, graphics, sounds, images and other material ("Material"), are owned by interactive-initiatives.com and third party service providers ("Service Providers") and are protected by United States and foreign intellectual property laws. Unauthorized use of the Material may violate copyright, trademark, and other laws.

You may not copy or adapt the HTML or other code that interactive-initiatives.com uses to generate its pages. This code is also protected by interactive-initiatives.com copyright and other intellectual property rights.

10. INDEMNIFICATION

Upon request by interactive-initiatives.com you agree to defend, indemnify, and hold harmless Interactive-Initiatives, LLC. and its subsidiary and other affiliated companies, and their employees, contractors, officers, and directors from all liabilities, claims, and expenses, including attorney's fees, that arise from your use or misuse of this site. Interactive-Initiatives, LLC. reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with interactive-initiatives.com in asserting any available defenses.

11. SPAM IS PROHIBITED AND CAUSES DAMAGE; SPAM FILTERED TECHNOLOGY

Without limiting the generality of Section 4, you will not use the Interactive-Initiatives, LLC. Web Site to transmit, either directly or indirectly any unsolicited bulk e-mail or unsolicited commercial e-mail. You will not use the Interactive-Initiatives, LLC. Web Site in any way that violates any Anti-Spam Policy. A breach of any part of the Anti-Spam Policy is a breach of this agreement.

12. SOFTWARE

Your use of any software associated with the Interactive-Initiatives, LLC. Web Site will be governed by the terms and conditions of the end user license agreement ("EULA") accompanying such software.

13. Interactive-Initiatives, LLC. MAKES NO WARRANTY

Interactive-Initiatives, LLC. PROVIDES THE Interactive-Initiatives, LLC. WEB SITE "AS IS", "WITH ALL FAULTS" AND "AS AVAILABLE", AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH YOU. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Interactive-Initiatives, LLC. MAKES NO REPRESENTATIONS, WARRANTIES, OR CONDITIONS, EXPRESS OR IMPLIED. Interactive-Initiatives, LLC. DISCLAIMS ANY AND ALL WARRANTIES OR CONDITIONS, EXPRESS OR STATUTORY AND IMPLIED, INCLUDING WITHOUT LIMITATION (1) WARRANTIES OR CONDITIONS OR MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, WORKMANLIKE EFFORT, ACCURACY AND NO NON-INFRINGEMENT, (2) WARRANTIES OR CONDITIONS ARISING THROUGH COURSE OF DEALING OR USAGE OR TRADE,AND (3) WARRANTIES OR CONDITIONS THAT ACCESS TO OR USE OF THE Interactive-Initiatives, LLC. WEB SITE WILL BE UNITERRUPTED OR ERROR-FREE. THERE ARE NO WARRANTIES THAT EXTEND BEYOND THE FACE OF THIS AGREEMENT.

14. LIABILITY LIMITATIONS; YOUR EXCLUSIVE REMEDY

IN NO EVENT WILL ANY Interactive-Initiatives, LLC. PARTY BE LIABLE FOR ANY DAMAGES, INCLUDING WITHOUT LIMITATION ANY INDIRECT, CONSEQUENTIAL, SPECIAL, INCIDENTAL, OR PUNITIVE DAMAGES ARISING OUT OF, BASED ON, OR RESULTING FROM THIS AGREEMENT OR YOUR USE OF THE Interactive-Initiatives, LLC. WEB SITE, EVEN IF Interactive-Initiatives, LLC. HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE EXCLUSION OF DAMAGES UNDER THIS SECTION IS INDEPENDENT OF YOUR EXCLUSIVE REMEDY AND SURVIVES IN THE EVENT SUCH REMEDY FAILS OF ITS ESSENTIAL PURPOSE OR IS OTHERWISE DEEMED UNENFORCEABLE. THESE LIMITATIONS AND EXCLUSIONS APPLY WITHOUT REGARD TO WHETHER THE DAMAGES ARISE FROM (1) BREACH OF CONTRACT, (2) BREACH OF WARRANTY, (3) NEGLIGENCE, OR (4) ANY OTHER CAUSE OF PROHIBITED BY APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH THE Interactive-Initiatives, LLC. WEB SITE, YOU DO NOT AGREE WITH ANY PART OF THIS AGREEMENT, OR YOU HAVE ANY OTHER DISPUTE OR CLAIM WITH OR AGAINST Interactive-Initiatives, LLC. WITH RESPECT TO THIS AGREEMENT OR THE Interactive-Initiatives, LLC. WEB SITE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USING THE Interactive-Initiatives, LLC. WEB SITE.

15. TERMINATION; ACCESS RESTRICTION

Interactive-Initiatives, LLC. may terminate this Agreement, or terminate or suspend your access to the Interactive-Initiatives, LLC. Web Site at any time, with or without cause, with or without notice. Upon such termination or suspension, your right to use the Interactive-Initiatives, LLC. Web Site will immediately cease. UPON SUCH TERMINATION OR SUSPENSION, ANY INFORMATION YOU HAVE STORED ON THE Interactive-Initiatives, LLC. WEB SITE MAY NOT BE RETRIEVED LATER.
